  1. INTRODUCTION

Welcome to the official website of NxtPromo Ghana Limited. Throughout this document, we will refer to ourselves as “the company,” “NxtPromo,” “we,” “us,” and “our.”

As a leading Diamond Status Amrod Reseller, NxtPromo Ghana Limited provides a platform for the procurement, branding, and delivery of high-quality corporate gifts, clothing, headwear, and display items. These Terms and Conditions govern the use of our website, the ordering process, sales, and delivery within Ghana and internationally. By accessing this website or placing an order, you agree to be bound by these terms.

  1. REGISTRATION & ACCOUNT MANAGEMENT
  • User Registration: To access our full catalogue and wholesale pricing, users must complete the registration process. A one-time administration fee applies to all new account setups.
  • Approval: Accounts are subject to review by the NxtPromo team. Upon approval and receipt of the registration fee, login credentials and a user guide will be provided.
  • De-activation: Accounts showing no activity for a period of 12 (twelve) consecutive months will be automatically deactivated. Re-registration will be required to resume services.
  1. WEBSITE USAGE & INTELLECTUAL PROPERTY

Users may not copy, publish, or use the information on this website for any purpose other than the promotion of products purchased through NxtPromo. You may only use images intended for promotional purposes. It is strictly prohibited to use any intellectual property from this site to falsely represent yourself as Amrod South Africa or NxtPromo Ghana Limited.

  1. ORDER PLACEMENT
  • Platform: All orders must be placed through our official online platform.
  • Acceptance: NxtPromo reserves the right to accept or reject any order based on stock availability, pricing accuracy, and successful payment authorization.
  • Stock Availability: Product availability is limited and subject to change. If an item becomes unavailable after an order is placed, NxtPromo will notify the client and provide a refund or alternative solution.
  • Pricing: Prices are subject to change without prior notice due to currency fluctuations (GHS/ZAR/USD) or supplier adjustments.
  • ETA & Lead Times: Estimated Time of Arrival (ETA) dates are subject to shipping and customs clearance processes at Airport, the Tema or Takoradi ports and cannot be guaranteed. Lead times exclude weekends and public holidays in both South Africa and Ghana.
  1. BRANDING SERVICES
  • Exclusivity: In-house branding is strictly available for products procured through NxtPromo.
  • Payment: Full payment for both the product and the branding service is required before the branding process commences.
  • Approvals: No cancellations are accepted once final artwork has been approved and branding has begun.
  1. PAYMENT TERMS
  • Accepted Methods: We accept payments via Bank Transfer (EFT), Visa, and MasterCard. We do not accept cash or mobile money (unless specified via official invoice).
  • Deposits: For orders exceeding GHS 30,000.00 (or equivalent), a 50% deposit is required within 24 hours of order placement.
  • Clearing: Goods will only be dispatched or sent for branding once funds have been fully cleared in the NxtPromo Ghana Limited bank account.
  • International Payments: Payments from foreign banks may take 4 to 7 business days to reflect.
  1. SHIPPING, DELIVERY & CUSTOMS
  • Local Delivery: NxtPromo offers delivery services within Accra and Tema. Delivery to other regions (Kumasi, Takoradi, Tamale, etc.) is handled via third-party couriers at the client’s expense.
  • Customs & Duties: As goods are sourced via our Amrod partnership in South Africa, quoted lead times include the consolidation and shipping window.
  • Air Freight Restrictions: Products containing lithium batteries (e.g., Power Banks) are restricted from air freight and must be shipped via sea freight, affecting lead times.
  • Collection: Clients may choose to collect orders from our Accra office once notified that the order is ready.
  1. CANCELLATIONS & RETURNS
  • Binding Contract: Confirmed orders are considered binding contracts. Any reported shortages or damages must be made in writing within 24 hours of receipt.
  • Cancellation Fees: * Orders not paid within 10 working days will be cancelled.
  • Cancelled orders exceeding a value of GHS 4,000.00 attract a 15% handling and administration fee.
  • A fee of GHS 100.00 per layout applies if an order is cancelled after artwork has been generated.
  • Non-Returnable Items: We do not accept returns on branded items, consumables, face masks, memory sticks, or discontinued/clearance stock unless the item is found to be faulty.
  • Hygiene: Worn clothing returned for any reason must be laundered. A laundry fee of GHS 10.00 per garment will be charged for unlaundered returns.
  1. WARRANTIES & LIABILITY
  • Manufacturer Warranty: Warranty coverage is limited to the original manufacturer’s terms. Latent defects not covered by the manufacturer are not the responsibility of NxtPromo.
  • Fitness for Purpose: NxtPromo does not warrant that goods are suitable for any specific professional purpose or environment beyond their standard design.
  • Limit of Liability: Our liability is strictly limited to the repair or replacement of faulty goods, or a credit note of equivalent value. NxtPromo is not liable for any consequential loss arising from delivery delays or product failure.
  1. GOVERNING LAW

These Terms and Conditions are governed by the laws of the Republic of Ghana. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the Ghanaian courts.

  1. INTELLECTUAL PROPERTY
  • Limited License: Users are granted a limited, non-exclusive license to use the content on this website for personal, non-commercial procurement purposes. You may not reproduce, modify, or distribute text, graphics, or media without prior written consent from NxtPromo or Amrod.
  • Trademarks and Logos: All trademarks and logos displayed are the property of Amrod or their respective global owners (e.g., Slazenger, Gary Player). Use of these marks to falsely represent yourself as an official brand owner is strictly prohibited.
  • User Submissions: By submitting logos or artwork to NxtPromo, you grant us the right to adapt such materials to fulfill your branding requests. You warrant that you own the rights to these marks and agree to indemnify NxtPromo Ghana Limited against any legal costs or claims arising from trademark or copyright infringement resulting from the materials you provide.
  1. DISCLAIMERS & LIMITATION OF LIABILITY
  • “As Is” Basis: This website and its information are provided “as is.” While we strive for accuracy, NxtPromo provides no guarantee regarding the timeliness, functionality, or availability of the website.
  • Risk of Use: Your use of this website is at your own risk. NxtPromo is not liable for any direct or indirect loss resulting from your reliance on the information provided, including technical errors or viruses, unless arising from our gross negligence.
  • Liability Cap: NxtPromo’s liability for any claim related to the use of this website or the supply of goods shall not exceed the total price paid for the specific order in question.
  1. PRIVACY POLICY SUMMARY
  • Data Collection: We collect personal information (names, contact details, and business registration) solely for order processing, legal compliance, and improving your user experience.
  • Protection: In alignment with Ghana’s Data Protection Act, 2012 (Act 843), we implement appropriate security measures to prevent unauthorized access to your information.
  • Third-Party Disclosure: We do not sell your data. We only share necessary information with logistics partners (e.g., couriers) or our primary supplier, Amrod, to fulfill your orders.
  • User Rights: You may request access to, correction of, or deletion of your personal data by contacting our team at info@nxtpromo.com.
  1. FORCE MAJEURE

NxtPromo Ghana Limited shall not be liable for any failure to perform our obligations due to events beyond our control. This includes, but is not limited to: strikes, port delays (Tema/Takoradi), global shipping disruptions, fire, floods, acts of God, or government interference. If such an event continues for more than 90 days, either party may cancel the affected portion of the agreement.

  1. GOVERNING LAW & ARBITRATION
  • Jurisdiction: These terms are governed by the laws of the Republic of Ghana, including the Electronic Transactions Act, 2008 (Act 772) and the Consumer Protection laws.
  • Dispute Resolution: Any disputes that cannot be settled through mutual negotiation shall be resolved through arbitration in Accra, Ghana, in accordance with the rules of the Ghana Arbitration Centre.
  1. SAMPLE POLICY
  • Purchase of Samples: Samples are available for purchase to assist in closing deals. All sample orders must be paid in full before collection or dispatch.
  • Unpaid Samples: Sample invoices not settled within 5 working days will be automatically cancelled.
  • Returns of Samples: * Samples with a unit price below GHS 30.00 are non-returnable.
  • Branded items, consumables, and perishables are non-returnable.
  • High-value samples (above GHS 30.00) may be returned for credit if they are in original, undamaged packaging and returned within 7 days of receipt.
  • Processing: Returns are subject to inspection. It may take up to 7 days to process a credit note for returned samples.
  1. ARTWORK & BRANDING POLICY
  • Submission: Artwork must be submitted in vector format (.AI, .EPS, .PDF, or .CDR). High-resolution JPEGs (over 600dpi) may be accepted but may incur a redrawing fee of GHS 150.00.
  • Approval: Branding will only commence after written online approval of the layout and receipt of full payment.
  • Errors: Once you approve a layout, NxtPromo is not responsible for any spelling or design errors. Please check sizes, colors, and spelling carefully.
  • Color Matching: We aim for the closest possible match to Pantone colors but do not guarantee a 100% match due to varying material textures (e.g., metal vs. fabric).
  1. DISPLAY & WORKWEAR SPECIAL TERMS
  • Display Hardware: Display hardware (Banners, Gazebos, etc.) comes with a limited 3-year mechanical warranty. This excludes damage from mishandling or extreme weather.
  • Display Skins: Printed skins have a limited 3-month fade warranty. Overexposure to harsh Ghanaian sunlight will naturally reduce the lifespan of the print.
  • Workwear Sets (Conti Suits): According to industry standards, Conti Suits are sold as sets where the trousers are 2 sizes smaller than the jacket. For example, a Size 34 set includes a Size 34 jacket and Size 30 pants. Please verify sizing before ordering, as branded workwear cannot be returned.

  1. GENERAL
  • Entire Agreement: This document constitutes the entire agreement between NxtPromo and the client. No other verbal promises or external representations are binding.
  • No Waiver: Any leniency shown by NxtPromo regarding a breach of these terms does not constitute a waiver of our rights in the future.
  • Electronic Signatures: For the purposes of these terms, “in writing” and “signed” refer to handwritten signatures or confirmed digital approvals through our official portal.
